These Terms of Service (“Terms”) govern your use of ArgosBrain (the “Service”), including the binary, the ArgosBrain MCP server, the Neurogenesis engine that powers it, the web dashboard at app.argosbrain.com, and the website at argosbrain.com. By installing, calling, or signing in to the Service you agree to these Terms.
0. Parties & Entity
The Service is operated by ManageVendors Inc., a Delaware corporation doing business as ArgosBrain (collectively “ArgosBrain”, “we”, “us”, “our”).

References to “ArgosBrain Inc.” in earlier versions of these Terms or in any third-party material are understood to mean ManageVendors Inc. d/b/a ArgosBrain. There is no separate legal entity named “ArgosBrain Inc.”.
0.1 Ownership and Intellectual Property
All software comprising the Service — the compiled binaries (argosbrain, argosbrain-mcp, argosbrain-manager, argosbrain-embedder), the proprietary Neurogenesis engine architecture and source code, the ArgosBrain dashboards (local and at app.argosbrain.com), and all associated trade secrets, know-how, and documentation — are the exclusive property of ManageVendors Inc. The Neurogenesis engine and its source code are confidential proprietary trade secrets and are not distributed in source form under any license.
Only the publicly-available LongMemCode benchmark repository (github.com/CataDef/LongMemCode) is licensed under the MIT License. The binaries shipped to users are licensed under BUSL-1.1 (Business Source License 1.1) per the metadata embedded in the Cargo.toml manifest; commercial production use of unmodified ArgosBrain binaries by individual end-users is permitted under the BUSL Additional Use Grant, while any derivative-work redistribution is prohibited until the change date specified in the license.
“ArgosBrain”, “Neurogenesis”, and the ArgosBrain aperture mark are trademarks of ManageVendors Inc.
1. Acceptance
Installing the binary, calling its MCP tools, or signing in to the dashboard constitutes acceptance of these Terms. If you do not agree, do not use the Service.
2. Accounts and Licenses
ArgosBrain issues per-account license keys (JWT) that encode your tier (Free, Pro, Enterprise). The binary operates without a key by treating you as Free Tier.
3. Acceptable Use
- You may use the Service to analyse code you own or have authorisation to analyse.
- You may not attempt to bypass the license check, the per-tier feature gates, or the heartbeat telemetry. The heartbeat is a load-bearing component of how we honour cancellations, key rotations, and tier entitlements; interfering with it is a material breach of these Terms.
- You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the Neurogenesis engine's source code or trade secrets from any binary distribution.
- You may not use the Service to scan code with the intent of locating exploitable vulnerabilities for malicious use against third parties.
4. Limitations on Use of the Free Tier
4.1 Non-commercial use only. The Free Tier is provided for personal, educational, and evaluation purposes only. Commercial use of ArgosBrain Free — including but not limited to use in connection with paid work, billable hours, services to clients, or integration into for-profit products — requires a Pro or Enterprise license.
4.2 Reservation of rights to modify the Free Tier. ManageVendors Inc. reserves the right to modify the Free Tier feature set at any time, including but not limited to removing features, adding usage caps, re-tiering capabilities, or restructuring tiers entirely. Free Tier users will be notified of such changes via the dashboard and the public CHANGELOG; no advance-notice guarantee applies to Free Tier modifications.
4.3 Pro and Enterprise users — change-notice guarantee. Existing Pro and Enterprise subscribers will be notified of any change that affects their entitlement set via email at least thirty (30) days before the change takes effect. During that window Pro / Enterprise subscribers may downgrade or cancel without penalty.
4.4 Project limit. The Free Tier binds ArgosBrain to one (1) active project at a time, enforced at argosbrain init. Users may release the active slot by running argosbrain abandon-primaryand re-binding to a different project. Pro and Enterprise Tiers remove this limit.
5. Data Handling
All code analysis runs locally on your machine. The Service transmits no source code, no embeddings, and no graph data to ManageVendors Inc. servers. The ~24-hour license heartbeat carries only the license key UUID, the binary version, the OS / arch, an opt-in usage counter (number of MCP tool calls), and an opt-in cost-savings delta. 6. Disclaimer of Warranty
THE SERVICE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MANAGEVENDORS INC. MAKES NO WARRANTY THAT THE SERVICE WILL BE ERROR-FREE, MEET YOUR REQUIREMENTS, OR DETECT ANY OR ALL VULNERABILITIES IN THE CODE YOU ANALYSE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MANAGEVENDORS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Our total cumulative liability under these Terms for any matter relating to the Service shall not exceed the amount you paid to us during the twelve (12) months preceding the claim, or USD 100 if you used only the Free Tier.
8. Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
9. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via the dashboard and the public CHANGELOG. Continued use of the Service after a Terms update constitutes acceptance.
